Notice of Meeting

We will be conducting our AGMs for Waverley Baseball Club Inc. and Waverley Reds Inc. at our clubrooms on Monday, August 5.  The meeting will commence at 7pm.

You may attend the meeting in person, or online.  A link for the online meeting will be published on this page in the days leading up to the meeting.

The ordinary business of the annual general meeting is as follows—

(a) to confirm the minutes of the previous annual general meeting and of any special general meeting held since then;

(b) to receive and consider—

(i) the annual report of the Committee on the activities of the Association during the preceding financial year; and

(ii) the financial statements of the Association for the preceding financial year submitted by the Committee in accordance with Part 7 of the Act;

(c) to elect the members of the Committee;

(d) to amend the Club Constitution as proposed in the document below.

(e) to conduct any other business of which notice has been given in accordance with the Club rules

Changes to Constitution of Waverley Baseball Club Inc.

Waverley Baseball Club is incorporated under the Associations Incorporation Reform Regulations Act 2012.  Our current Constitution is based upon the Model Rules published as part of this Act with some minor changes to suit our circumstances.

The Act was updated in 2023 and new Model Rules which comply with this Act were published.

We have predominantly merged our previous changes into the new Model Rules, however we do propose some changes.  These changes are highlighted in two PDFs accessible below:

2. The ‘Comparison between current CAV Model Rules and proposed new constitution.pdf’ document which shows the differences between the current Model Rules published by Consumer Affairs Victoria, and the proposed new Constitution.

One significant change in the proposed new Constitution is to elect Committee members for a two year term, with approximately half the Committee up for election each year.  This is to allow some continuity on the Committee.

We have also published our Current Constitution (Constitution of Waverley Baseball Club inc amended 9 June 2014.pdf), and the proposed New Constitution (Proposed WBC Constitution 2024 20240714) for your reference.  Please note that the upcoming AGM will be conducted using the Current (2014) Constitution, and the New Constitution does not take effect until it is reviewed and approved by Consumer Affairs Victoria.

To adopt the new Constitution we propose a special resolution: ‘That Waverley Baseball Club Inc. alter its rules as contained in the document named ‘Proposed WBC Constitution 2024 20240714’ in accordance with Rules 40 and 41 in the current constitution.
